This End User License Agreement ("Agreement") is a binding legal contract between you ("User," "you") and Holen("Company," "we," "us," or "our"), governing your use of the Holen mobile application ("App") and associated services. By downloading, installing, accessing, or using the App, you confirm that you have read, understood, and agree to comply with all terms and conditions set forth in this Agreement. If you do not agree, do not use the App.

Holen grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on compatible devices solely for personal, non-commercial use in accordance with this Agreement.

You may not:

1. Copy, modify, distribute, or create derivative works based on the App.
2. Reverse engineer, decompile, or attempt to extract the App’s source code.
3. Rent, lease, sublicense, or transfer your license to any third party.
4. Use the App for any illegal, harmful, or unauthorized purposes.
5. Interfere with, disrupt, or compromise the security or functionality of the App.

• Account Creation: You are required to create an account to access certain features. You must provide accurate, current, and complete information during registration.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for any activities conducted through your account. Holen is not liable for unauthorized access to your account.
• Termination: Holen reserves the right to suspend or terminate your account if you violate this Agreement or engage in fraudulent or unauthorized activity.

Certain features of Holen’s services may require payment. By using these features, you agree to the following terms:

• Payment Processing: Payments are processed through third-party providers. Holen does not store full payment details.
• Subscription Services: For recurring services, you authorize Holen to charge your selected payment method at regular intervals until canceled.
• Refund Policy: Refunds will be granted in accordance with our official refund policy.

Your use of the App is governed by Holen’s Privacy Policy, which outlines how we collect, use, and protect your personal information. By using the App, you consent to the practices described in the Privacy Policy.

The App and all associated intellectual property, including but not limited to software, trademarks, logos, and designs, are owned by Holen. This Agreement does not grant you any ownership rights.

You agree to use the App only for its intended purpose and in compliance with applicable laws and regulations. You may not:

• Engage in fraudulent, deceptive, or harmful activities.
• Transmit viruses, malware, or any harmful code.
• Attempt to gain unauthorized access to Holen’s systems or data.
• Disrupt or interfere with the App’s operation or other users’ experience.

The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.Holen disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be error-free, secure, or continuously available.

To the maximum extent permitted by law, Holen and its affiliates will not be liable for any indirect, incidental, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising out of or related to your use of the App. In no event shall Holen’s total liability exceed the amount you paid for the services in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Holen, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your violation of this Agreement or misuse of the App.

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.

• Any disputes arising from this Agreement will be resolved through binding arbitration in Atlanta, Georgia.
• Class Action Waiver: You waive your right to participate in any class action lawsuits or class-wide arbitration.

Holen reserves the right to modify or update this Agreement at any time. In the event of material changes, we will notify you via email or an in-app notification. Your continued use of the App after the update constitutes acceptance of the revised terms.
